Welcome to Wager Sharp. These Terms of Service (“Terms”) govern your access to and use of the Wager Sharp website, applications, products, software, content, tools, alerts, recommendations, data, and related services (collectively, the “Services”) provided by Wager Sharp (“Wager Sharp,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction if higher, to access or use the Services. By using the Services, you represent and warrant that:

• you meet the applicable age requirement;
• you have the legal capacity to enter into these Terms;
• your use of the Services does not violate any applicable law, regulation, or contractual obligation; and
• you are not prohibited from using the Services under any applicable sanctions, export controls, or restrictions.

You are solely responsible for determining whether your use of the Services is lawful in your location.

2. Nature of the Services

Wager Sharp provides informational and analytical tools related to sports, betting trends, historical performance, market signals, picks, play recommendations, data feeds, alerts, rankings, model outputs, and other data-driven insights. The Services are provided for informational and entertainment purposes only.

Wager Sharp is not a sportsbook, gambling operator, bookmaker, broker, financial advisor, fiduciary, or betting agent. We do not accept, place, transmit, route, or process wagers on your behalf. We do not guarantee the success, profitability, or outcome of any prediction, recommendation, pick, strategy, or wager.

Past performance, trends, hit rates, historical results, simulations, and model outputs are not guarantees of future results. Any decisions you make based on the Services are made at your own risk.

3. Compliance With Laws

You are solely responsible for ensuring that your access to and use of the Services complies with all laws, rules, and regulations applicable to you, including laws related to sports betting, gambling, online conduct, consumer protection, and data privacy.

Wager Sharp does not represent or warrant that the Services are appropriate, available, or lawful in any particular jurisdiction. Accessing the Services from territories where the Services or their content are unlawful is prohibited.

4. Account Registration and Security

To access certain features, you may be required to create an account. You agree to:

• provide accurate, current, and complete information;
• keep your login credentials confidential and secure;
• promptly update any information that changes;
• accept responsibility for all activities that occur under your account; and
• notify us immediately of any unauthorized access, use, or suspected security breach.

We may suspend or terminate your account if any information you provide is inaccurate, misleading, outdated, or incomplete, or if we reasonably suspect unauthorized or prohibited activity.

5. Subscription, Billing, and Payments

Some parts of the Services may be offered on a paid subscription or one-time purchase basis.

By purchasing a subscription or paid feature, you agree that:

• you will provide valid payment information;
• you authorize us and our payment processors to charge all applicable fees, taxes, and recurring charges;
• subscription fees may renew automatically unless canceled before the renewal date;
• prices may change prospectively upon reasonable notice; and
• you are responsible for all applicable taxes, duties, levies, or governmental charges.

Unless otherwise stated in writing, all fees are non-refundable once paid, except as required by applicable law.

If your payment method fails, we may suspend or revoke access to paid features until payment is successfully processed. We may also issue an electronic invoice requiring manual payment by a stated deadline.

We reserve the right to refuse or cancel any order, subscription, or transaction at any time, including in cases of pricing or description errors, suspected fraud, unauthorized payment activity, abuse of promotions, or suspected unlawful conduct.

6. Free Trials and Promotions

We may offer free trials, discounts, referral credits, contests, sweepstakes, referral programs, or other promotional offers from time to time. Such offers may be subject to additional terms and may be modified, suspended, or terminated at any time. We may limit eligibility or revoke a promotion if we suspect abuse, fraud, manipulation, duplicate accounts, or other misuse.

If you enroll in a free trial and provide billing information, you may be charged automatically when the free trial ends unless you cancel before the end of the trial period.

You may not create multiple accounts or use false, misleading, or alternate identities to obtain repeated free trials, credits, discounts, or promotional benefits.

If separate promotion rules conflict with these Terms, the promotion-specific rules will control solely for that promotion.

7. Acceptable Use

You agree not to, and not to assist or permit any other person to:

• use the Services for any unlawful, fraudulent, deceptive, or abusive purpose;
• use the Services in violation of any gambling, betting, gaming, securities, advertising, privacy, intellectual property, or consumer protection laws;
• copy, reproduce, republish, distribute, sell, license, sublicense, lease, transfer, assign, display, or commercially exploit the Services or any part of the Services except as expressly permitted by us;
• resell, redistribute, syndicate, repackage, white-label, or otherwise commercially monetize our content, picks, alerts, data, signals, models, output, or other materials;
• scrape, crawl, mine, harvest, or extract data from the Services by automated or manual means;
• reverse engineer, decompile, disassemble, decode, or attempt to derive source code, models, algorithms, or underlying ideas from the Services, except to the extent such restriction is prohibited by law;
• bypass, disable, interfere with, or circumvent any security feature, rate limit, access control, watermark, or technological protection used by the Services;
• use bots, scripts, or automated systems to access the Services in a manner that burdens or disrupts our systems;
• upload, transmit, or distribute viruses, malware, or harmful code;
• impersonate any person or entity or misrepresent your affiliation;
• use the Services to build or improve a competing product or service;
• share account access with unauthorized users or use another person's account without permission; or
• interfere with the proper operation of the Services or any user's use and enjoyment of the Services.

We may investigate and take any action we deem appropriate in response to actual or suspected violations, including suspension, termination, removal of content, legal action, and cooperation with law enforcement.

8. Intellectual Property

The Services, including all software, technology, models, interfaces, branding, names, logos, text, graphics, design, compilations, databases, statistics, historical data formatting, alerts, picks, reports, audio, video, and other content made available by Wager Sharp, and all related intellectual property rights, are and remain the exclusive property of Wager Sharp and its licensors.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial use.

No rights are granted except as expressly stated in these Terms.

9. Restrictions on Resale and Commercial Use

Without our prior written consent, you may not:

• resell access to the Services;
• repost our content, picks, alerts, outputs, rankings, reports, screeners, or signals to public or private paid communities, social channels, newsletters, discords, group chats, syndication networks, or other distribution channels;
• use our content or outputs in connection with touting, pick-selling, affiliate betting schemes, lead generation, or commercial advisory services;
• package, rebrand, white-label, or incorporate our outputs into another product, service, feed, API, data offering, or model offering; or
• remove proprietary notices, branding, attribution, paywall notices, or watermarks.

Any unauthorized commercial use is a material breach of these Terms.

10. Confidentiality; Paywalled and Proprietary Data

Certain non-public information made available through the Services, including content behind a paywall, premium picks, rankings, alerts, model outputs, trade secrets, internal methodologies, data feeds, and downloadable or viewable service data (collectively, “Proprietary Data”) is confidential and proprietary to Wager Sharp or its licensors.

You agree that you will:

• protect Proprietary Data using at least reasonable care;
• use Proprietary Data only for your personal, non-commercial use of the Services;
• not disclose, publish, repost, transmit, sell, sublicense, share, or otherwise make Proprietary Data available to any third party;
• not allow any other person to access Proprietary Data through your account; and
• not use Proprietary Data to build, train, validate, benchmark, or improve any competing product, model, dataset, or service.

Confidential and proprietary information does not include information that becomes public through no breach of these Terms, was lawfully known to you without confidentiality obligations before disclosure, is lawfully received from a third party without restriction, or is independently developed without use of Proprietary Data.

If you are required by law, regulation, subpoena, court order, or governmental process to disclose Proprietary Data, you must, to the extent legally permitted, provide prompt notice so that we may seek protective treatment.

11. User Content and Feedback

If you submit, upload, post, transmit, or otherwise provide any content to us, including comments, reviews, ideas, suggestions, prompts, messages, feedback, or other materials (collectively, “User Content”), you grant Wager Sharp a worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable license to use, host, reproduce, modify, adapt, publish, translate, distribute, display, and otherwise exploit such User Content for the purpose of operating, improving, promoting, and providing the Services.

You represent and warrant that:

• you own or control all rights necessary to grant the above license;
• your User Content does not infringe or violate any third-party rights or applicable law; and
• your User Content is not false, misleading, defamatory, obscene, unlawful, or harmful.

We are not obligated to monitor User Content, but we may remove or refuse any User Content at our discretion.

Any feedback you provide may be used by us without restriction or compensation.

12. Data, Analytics, and AI Outputs

The Services may use automated systems, artificial intelligence, machine learning, statistical models, third-party data feeds, and probabilistic analysis to generate outputs, recommendations, and insights.

You acknowledge and agree that:

• outputs may be incomplete, delayed, inaccurate, or unavailable;
• data feeds and third-party sources may contain errors or interruptions;
• different users may receive different outputs;
• model-generated insights are inherently probabilistic and may not reflect all relevant factors; and
• you should not rely on the Services as the sole basis for making financial, betting, legal, or other important decisions.

We reserve the right to change models, methodologies, features, source data, scoring criteria, ranking systems, and output formats at any time without liability.

13. Analytics and Error Monitoring

We may use third-party analytics, attribution, error reporting, communications, payment, hosting, and monitoring providers in connection with the Services. By using the Services, you acknowledge that information about your use of the Services may be processed by such providers in accordance with our Privacy Policy and their applicable terms.

14. Third-Party Services and Links

The Services may contain links to third-party websites, sportsbooks, advertisers, affiliates, partners, social platforms, tools, or services. We do not control and are not responsible for any third-party content, products, services, policies, or practices.

Your interactions with third parties are solely between you and the third party. Wager Sharp is not responsible for any loss or damage arising from or related to any third-party dealings.

15. No Personalized Advice; No Guarantees

The Services do not constitute legal, financial, tax, investment, gambling, addiction, mental health, or other professional advice. Wager Sharp does not provide personalized betting advice and does not evaluate whether any particular wager, play, strategy, or recommendation is suitable for you.

We cannot know all facts relevant to your circumstances, bankroll, risk tolerance, financial condition, or legal situation. Accordingly, any pick, trend, signal, recommendation, ranking, or alert made available through the Services is general in nature and must not be treated as individualized advice.

WE MAKE NO REPRESENTATIONS, WARRANTIES, OR GUARANTEES REGARDING:

• the accuracy, completeness, timeliness, or reliability of the Services;
• the performance of any pick, trend, signal, recommendation, or strategy;
• the availability or uptime of the Services; or
• any profit, return, success rate, or other outcome.

You are solely responsible for your decisions, wagers, losses, compliance obligations, and risk management.

16. User Responsibility for Wagers and Financial Decisions

You are solely responsible for any bet, wager, transaction, or action you place, authorize, or take based on the Services. Wager Sharp does not act on your behalf, does not control your sportsbook or betting accounts, and does not assume responsibility for any result arising from your use of the Services.

To the fullest extent permitted by law, you agree that Wager Sharp will not be liable for bets placed, financial losses incurred, or actions taken by you or others based on news, information, opinions, picks, recommendations, alerts, trends, service data, or other materials made available through the Services.

17. Responsible Play

If you choose to participate in sports betting or gambling activities, you do so at your own risk. Please bet responsibly.

Do not wager money you cannot afford to lose. If you believe you may have a gambling problem, seek assistance from a qualified support provider or responsible gaming resource in your jurisdiction.

18. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. To the extent there is a conflict between these Terms and the Privacy Policy regarding privacy matters, the Privacy Policy will control.

19. Copyright Complaints

We respect the intellectual property rights of others and expect users to do the same. If you believe that any content made available through the Services infringes your copyright or other intellectual property rights, please send us a notice including: (a) identification of the copyrighted work or other right claimed to be infringed; (b) identification of the allegedly infringing material and its location; (c) your contact information; (d) a statement that you have a good-faith belief the use is not authorized; (e) a statement, under penalty of perjury where applicable, that your notice is accurate and that you are authorized to act; and (f) your physical or electronic signature.

We may remove allegedly infringing material and terminate repeat infringers where appropriate.

20. Service Availability and Changes

We may modify, update, suspend, discontinue, or restrict all or any part of the Services at any time, with or without notice. We are not liable for any modification, suspension, interruption, delay, or discontinuation of the Services.

We may also impose limits on certain features or restrict access to parts or all of the Services without notice or liability.

21. Communications

By creating an account, making a purchase, or otherwise using the Services, you consent to receive transactional communications from us electronically, including account notices, service announcements, billing notices, legal notices, and other service-related messages. You may also receive marketing or promotional communications from us in accordance with applicable law, and you may opt out of promotional emails using the unsubscribe mechanism provided in those messages.

22. Termination

We may suspend, limit, or terminate your access to the Services, with or without notice, at any time and for any reason, including if we believe:

• you violated these Terms;
• you created risk or possible legal exposure for us or others;
• your use is fraudulent, abusive, or unlawful; or
• doing so is necessary to protect the Services, our users, or our business.

You may stop using the Services at any time. If you have a subscription, cancellation will take effect at the end of the then-current billing period unless otherwise stated.

Upon termination, the rights granted to you under these Terms will immediately cease, but all provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnity, dispute resolution, and payment obligations.

23. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

WAGER SHARP DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

WITHOUT LIMITING THE FOREGOING, WAGER SHARP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WAGER SHARP AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF WAGER SHARP FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO WAGER SHARP FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE FORM OF ACTION AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

25. Indemnification

You agree to defend, indemnify, and hold harmless Wager Sharp and its affiliates, licensors, service providers, officers, directors, employees, contractors, agents, and partners from and against any claims, demands, actions, proceedings, liabilities, damages, judgments, settlements, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• your use or misuse of the Services;
• your violation of these Terms;
• your violation of any applicable law, rule, or regulation;
• your User Content; or
• your infringement or misappropriation of any third-party rights.

26. Dispute Resolution; Governing Law

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be governed by the laws of the Province of Quebec and the applicable federal laws of Canada, without regard to conflict of law principles.

Any dispute that cannot be resolved informally will be brought exclusively before the courts located in the District of Montreal, Quebec, and you consent to the jurisdiction and venue of those courts.

27. Export Controls and Sanctions

You may not use, export, re-export, import, or transfer the Services except as authorized by applicable law, including export control and sanctions laws. By using the Services, you represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive sanctions, and that you are not a restricted party.

28. Electronic Communications

By using the Services, you consent to receive communications from us electronically, including emails, notices, disclosures, billing communications, and other messages. You agree that electronic communications satisfy any legal requirement that such communications be in writing.

29. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice by posting the updated Terms, updating the “Last Updated” date, sending an email, or through the Services. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the revised Terms.

30. Miscellaneous

These Terms constitute the entire agreement between you and Wager Sharp regarding the Services and supersede all prior or contemporaneous agreements, understandings, or communications relating to the Services.

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms freely in connection with a merger, acquisition, corporate reorganization, or sale of assets.

Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and Wager Sharp.
